These Terms of Service ("Terms") govern your use of RedkiteAI (Redkite for Reddit application), which includes our website at https://redkiteai.com and https://redkite.ai (the "Website") and our Chrome Extension (the "Extension"). The application and all related services are collectively referred to as the "Service". By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy.

The Service is operated by Bagl Limited, registered in England and Wales under no. 15922211, with its registered office at 71-75 Shelton Street, Covent Garden, London, UK, WC2H 9JQ.

1. Description of Service

The Service provides users with an AI-powered assistant designed to help generate and refine content for use on third-party platforms like Reddit. The Service is accessed via a user dashboard on our Website and through the Extension.

2. User Accounts

To use most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3. Subscriptions and Payment

a. Plans: The Service is offered under various subscription plans ("Plans"), including a free plan and one or more paid plans. Features, usage limits, and pricing for each Plan are detailed on our Website.

b. Billing: For paid Plans, you will be billed in advance on a recurring, periodic basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel it.

c. Payment Information: All payments are processed by our third-party payment processor, Stripe. We do not store your credit card details.

d. Refunds: Except when required by law, paid subscription fees are non-refundable.

e. Fee and Plan Changes: We reserve the right, at our sole discretion, to modify subscription fees, features, or limits associated with any Plan at any time. Any fee change for a paid Plan will become effective at the end of the then-current billing cycle, and we will provide you with reasonable prior notice.

4. Service Availability and Modification

a. Free Tier: The free Plan is offered at our sole discretion. We reserve the right to modify, limit, or discontinue the free Plan, or any features within it, for any or all users at any time without prior notice.

b. Service Changes: We are constantly changing and improving the Service. We may add or remove functionalities or features, and we may suspend or stop a part of the Service altogether.

5. AI-Generated Content and User Responsibility

a. AI as a Tool for Idea Generation: You acknowledge that the Service is a tool to assist you with inspiration and idea generation. It is not intended to be used for the blatant, unedited posting of AI-generated content where such use is discouraged or prohibited.

b. Your Sole Responsibility: You are solely and exclusively responsible for any content you post or share. This includes reviewing, editing, and verifying the accuracy, appropriateness, and legality of all AI-generated content ("Generated Content") before use. You must ensure your final content is your own work and complies with all applicable platform rules.

c. Disclaimer of Liability for Content: AI-generated content may contain inaccuracies or errors. We disclaim all liability for any consequences arising from your use of Generated Content, including but not limited to account suspension on third-party platforms, reputational damage, or legal action. You use Generated Content at your own risk.

d. Your Ownership and Our Limited License: You retain full ownership of the inputs you provide to the Service and the specific Generated Content it produces for you. We retain all rights to the Service itself, including our software and technology. To operate and improve the Service, you grant us a limited, worldwide, royalty-free license to use your inputs and Generated Content solely for the following purposes: (i) to provide the Service to you, and (ii) to improve the Service in an anonymized way. We will not use your content to train third-party AI models or share it with other users.

e. No Professional Advice: The content generated by the Service is for informational and creative purposes only and does not constitute professional advice of any kind (including but not limited to legal, financial, or medical advice). You should consult with a qualified professional before making any decisions based on Generated Content.

6. Acceptable Use and Restrictions

You agree not to use the Service for any unlawful purpose. You may not:
- Violate any applicable law or regulation, including the terms of service of any third-party platform.
- Generate or disseminate content that is illegal, defamatory, harassing, hateful, or obscene.
- Attempt to reverse-engineer, decompile, or discover the source code of the Website or Extension.
- Use the Service to create a competitive product.
- Use automated systems (bots, scrapers, etc.) to access the Service.

7. Feedback

You may choose to submit comments or ideas about the Service. By submitting feedback, you agree that your disclosure is gratuitous and without restriction, and that we are free to use such feedback without any compensation to you.

8. Disclaimer of Warranties

In no event shall the aggregate liability of Bagl Limited exceed the greater of one hundred U.S. dollars ($100.00) or the amount you paid us, if any, in the past six (6) months.

You agree to defend, indemnify, and hold harmless Bagl Limited from and against any and all claims, damages, and expenses (including attorneys' fees), resulting from or arising out of your use of the Service or your violation of these Terms.

11. Third-Party Platform Compliance and Risks

a. No Affiliation: The Service is designed for use on third-party platforms like Reddit. Our Service is not affiliated with or endorsed by Reddit, Inc. or any other third-party platform.

b. User Responsibility for Compliance: You are solely responsible for ensuring that your use of the Service and any Generated Content complies with the terms of service, content policies, and any other rules of the third-party platform you are using.

c. Assumption of Risk: You acknowledge and agree that using AI-generated content on third-party platforms carries inherent risks, including the potential for account suspension, content removal, or permanent banning. You assume all such risks. We are not responsible or liable for any action taken against your account by a third-party platform.

12. Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control.

13. Dispute Resolution and Arbitration

You agree that any dispute or claim arising out of these Terms will be settled by binding arbitration, except for small claims court actions or claims for injunctive relief to protect intellectual property rights. You and Bagl Limited waive the right to a trial by jury or to participate in a class action lawsuit.

14. General Provisions

a. Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in effect.
b. Waiver: The failure of the Company to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
c. Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
d. Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire and exclusive understanding and agreement between Bagl Limited and you regarding the Service, and these Terms supersede and replace any and all prior oral or written understandings or agreements between us regarding the Service.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including if you breach the Terms.

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

17. Changes to Terms

We reserve the right to modify these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice. It is your responsibility to review these Terms periodically. By continuing to use the Service after revisions become effective, you agree to be bound by the revised terms.
